1. Scope
These Terms and Conditions apply to all offers, agreements, and services provided by Griffin Management BV (hereinafter referred to as “the Business”). By entering into an agreement with the Business, the client (hereinafter referred to as “the Client”) agrees to these Terms and Conditions.
2. Services
The Business provides the following services: IT consultancy, software development and system engineering. The exact scope, deadlines, and deliverables will be set out in a written quotation, order confirmation, or agreement between the Business and the Client.
3. Quotations and Pricing
All quotations are non-binding and valid for 30 days unless otherwise stated.
Prices are expressed in euros (€) and are exclusive of VAT.
Additional services or changes requested by the Client that are not included in the quotation will be billed separately.
4. Payment Terms
Invoices are payable within 30 days of the invoice date, unless otherwise agreed.
In case of late payment, statutory interest and a fixed compensation of 5% of the invoice amount will be due, without prior notice.
The Business reserves the right to suspend work until payment is received.
5. Deadlines and Delivery
Delivery dates are indicative unless expressly agreed otherwise.
Delays caused by the Client (e.g., missing information, feedback, or approvals) may result in extended deadlines.
6. Intellectual Property
All rights to the work remain with the Business until full payment has been made.
After payment, the Client receives a non-exclusive right to use the delivered work for the agreed purposes.
The Business retains the right to showcase the work for self-promotion, unless explicitly agreed otherwise.
7. Liability
The Business cannot be held liable for indirect damages such as loss of income, reputation, or opportunities.
The Business’ liability is limited to the invoice amount of the specific service that caused the damage.
8. Confidentiality
The Business undertakes to keep all confidential information of the Client secret and not disclose it to third parties, unless required by law.
9. Termination of Agreement
Either party may terminate the agreement in writing in case of breach of obligations by the other party, after granting a reasonable period for remedy.
Work already performed will be invoiced proportionally.
10. Applicable Law and Jurisdiction
These Terms and Conditions are governed by Belgian law. In case of disputes, the courts of Brussels have exclusive jurisdiction.
